Affiliate Terms & Conditions

These terms govern participation in the GBPPromote Affiliate Program. By joining the program, generating an affiliate link or accepting a commission payment, you agree to them. Please read section 5 in particular — it explains exactly when a commission becomes payable, which is the part most affiliates need to understand.

Effective 9 August 2026 Last updated 9 August 2026 Operated by TOTOSLocal One Private Limited

1. Definitions

“We”, “us”, “GBPPromote”
TOTOSLocal One Private Limited, the operator of gbppromote.com and the GBPPromote platform.
“You”, “Affiliate”
The individual or entity enrolled in the GBPPromote Affiliate Program.
“Affiliate Link”
The unique tracked URL issued to you, used to attribute referrals.
“Referred Customer”
A new customer who signs up for a paid GBPPromote subscription and is attributed to you under section 3.
“Qualifying Payment”
A payment actually received and retained by us from a Referred Customer for a GBPPromote subscription, excluding taxes, transaction fees, refunds and chargebacks.
“Commission”
The amount calculated under section 4 on a Qualifying Payment.
“Eligible Commission”
A Commission that has satisfied every condition in section 5 and is therefore payable to you. Commission that has not become Eligible is not owed and may never become payable.
“Holding Period”
The 30-day period described in section 5.2, during which a Commission is pending and not yet payable.

2. Eligibility and enrolment

2.1 Who may join

You must be at least 18 years old and legally able to enter into a binding contract. Businesses, agencies and individuals may all participate. Enrolment is free and there is no minimum traffic, audience size or approval process.

2.2 Accurate information

You must provide accurate contact and payout details and keep them current. We are not responsible for payments that fail or are misdirected because the details you supplied were wrong or out of date, and we are not obliged to reissue them.

2.3 One account per affiliate

You may hold one affiliate account. Creating multiple accounts to circumvent these terms, to self-refer, or to claim a referral already attributed to another affiliate is grounds for immediate termination and forfeiture of all pending Commission.

2.4 No self-referral

You may not use your own Affiliate Link to purchase a subscription for yourself, for a business you own or control, or for an entity acting on your instruction in order to obtain a discount or commission. Commission arising from self-referral is not Eligible and will be reversed.

To be clear about 2.4: if you are an agency buying GBPPromote for your own clients under your own account, that is a normal customer relationship, not a referral. If you want margin on accounts you service, the white-label option exists for exactly that and is a better fit than affiliate commission.

3. Referrals and the 30-day cookie

3.1 How a referral is attributed

When a visitor clicks your Affiliate Link, a tracking cookie is placed in their browser. If that visitor creates a paid GBPPromote subscription within 30 days of the click, the resulting customer is attributed to you as a Referred Customer.

3.2 When attribution does not occur

  • The visitor signs up more than 30 days after clicking your link.
  • The visitor clears cookies, changes browser or device, or blocks tracking between the click and the sign-up.
  • The visitor was already a GBPPromote customer, or had already started a trial or created an account before clicking your link. The program rewards new customers only.
  • A different affiliate’s link was clicked more recently. Attribution follows last click within the window.
  • The sign-up is a self-referral under section 2.4.

The 30-day cookie is not the same as the 30-day holding period

These are two different clocks and confusing them is the most common misunderstanding in any affiliate program.

The cookie window (this section) decides whether a customer is yours: they must sign up within 30 days of clicking.

The holding period (section 5.2) decides when you get paid: a payment must be retained for 30 days before the Commission on it becomes Eligible. These periods run at different times and are unrelated.

3.3 Duration of the commercial relationship

Once a customer is attributed to you, Commission accrues on their Qualifying Payments for as long as the subscription remains active and you remain in good standing under these terms. The 30-day cookie limits attribution only; it does not limit how long you earn.

3.4 Tracking is authoritative

Attribution is determined by our affiliate tracking system. We will investigate discrepancies raised in good faith within 60 days, but in the absence of demonstrable error our records are final.

4. Commission rate

4.1 Rate

You earn 20% of each Qualifying Payment made by a Referred Customer, recurring for the lifetime of that customer’s subscription. There is no cap on total earnings and no limit on the number of customers you may refer.

4.2 What Commission is calculated on

Commission is calculated on the net subscription amount actually received and retained by us. The following are excluded from the calculation:

  • Taxes of any kind, including GST, VAT and sales tax
  • Payment processing and transaction fees
  • Refunded, reversed, disputed or charged-back amounts
  • Amounts credited, discounted or waived, including promotional credit and goodwill credits
  • Any fees for services outside the subscription, such as managed services engagements

4.3 Changes to a subscription

Because Commission is a percentage of what the customer actually pays, it moves with their subscription. If a Referred Customer adds locations, your Commission increases automatically. If they reduce locations, downgrade or pause, it decreases correspondingly. If they cancel, Commission stops with their final Qualifying Payment.

4.4 Free trials

No Commission arises from a free trial. Commission begins with the first Qualifying Payment after a trial converts to a paid subscription.

5. When commission becomes payable

This is the most important section of these terms. Commission is earned when a Referred Customer pays, but it is only payable once it becomes an Eligible Commission. The two are not the same, and the difference exists so that refunds, chargebacks and failed payments are settled before money leaves our account.

5.1 Only Eligible Commission is paid

We pay Eligible Commission only. A Commission becomes Eligible when all of the following are true:

  1. The Qualifying Payment has been received and cleared in full.
  2. The Holding Period in 5.2 has elapsed without the payment being refunded, reversed, disputed or charged back.
  3. The referral complies with these terms, including sections 2, 3, 7 and 8.
  4. Your affiliate account is active and in good standing at the time of payout.

Commission that has not become Eligible is pending. Pending Commission is a projection shown for your convenience in the affiliate dashboard, not a debt owed to you, and it may be reduced or removed if any condition above fails.

5.2 The 30-day Holding Period

Each Qualifying Payment is subject to a 30-day Holding Period, beginning on the date we receive the payment. Commission on that payment becomes Eligible only if the payment is retained by us for the full 30 days without refund, reversal, dispute or chargeback.

If the payment is refunded or reversed at any point during those 30 days, the associated Commission never becomes Eligible and is removed from your balance.

Worked example: one payment, start to finish

A Referred Customer pays their monthly subscription on 1 March. Here is what happens to your Commission.

1 March
Customer’s payment is received. Commission is earned and shown as pending in your dashboard. It is not yet payable.
1–31 March
Holding Period runs. If the payment is refunded or charged back at any point in this window, the Commission is removed and never becomes payable.
31 March
Holding Period ends. The payment was retained, so the Commission becomes an Eligible Commission and joins your payable balance.
Following payout run
The Eligible Commission is included in the next monthly payout, provided your balance meets the $50 minimum in section 6.2.

5.3 Recurring payments are each held separately

The Holding Period applies to every Qualifying Payment individually, not only the first. A customer who pays monthly generates a new Commission each month, and each is held for 30 days from its own payment date before becoming Eligible.

5.4 Refunds, chargebacks and clawbacks

A refunded transaction is never eligible for Commission. This applies regardless of the reason for the refund and regardless of when it occurs.

  • Refund during the Holding Period. The pending Commission is cancelled. Nothing is payable.
  • Refund or chargeback after the Commission was paid to you. The amount is clawed back and deducted from your next payout. If your balance is insufficient, the negative balance carries forward until it is cleared by future Eligible Commission.
  • Chargeback fees. Where a customer chargeback incurs a fee, that fee may also be deducted if the chargeback is attributable to a referral obtained in breach of these terms.
  • Partial refunds. Commission is reduced pro rata to the amount refunded.

Why this clause exists

Affiliate programs that pay before refunds settle end up paying commission on revenue they never keep, and the cost of that is eventually passed back to affiliates through lower rates. Holding for 30 days is how we keep the rate at 20% with no tiers and no cap. It is not a device for delaying payment.

5.5 Fraudulent or invalid referrals

Commission arising from fraudulent, artificial or invalid activity is never Eligible, whether identified before or after payout. This includes self-referral, incentivised or paid-for sign-ups, cookie stuffing, automated traffic, forged conversions and accounts created for the purpose of generating commission. Where such Commission has already been paid, it is repayable to us on demand.

5.6 Commission on customers who never pay

No Commission arises from a sign-up whose payment fails, is declined or is never completed. A sign-up alone does not generate Commission; only a retained Qualifying Payment does.

5.7 Dormant accounts

If your affiliate account records no click activity and no new Referred Customers for 12 consecutive months, and your balance remains below the minimum payout threshold throughout, we may close the account and forfeit the remaining balance after giving you 30 days’ written notice by email to your registered address. Balances above the threshold will be paid out rather than forfeited.

6. Payouts

6.1 Schedule

Eligible Commission is paid monthly on NET-30 terms. Commission that became Eligible during a given calendar month is paid approximately 30 days after that month closes. Combined with the Holding Period, this means a payment received in early March is typically paid to you at the end of April.

6.2 Minimum payout

The minimum payout is $50 USD. If your Eligible balance is below $50 at a payout run, it rolls forward to the next month. Balances are not lost by falling below the threshold, subject only to section 5.7.

6.3 Payment methods

Payouts are made by PayPal or bank transfer to the details on your affiliate account. You are responsible for any receiving fees, currency conversion costs or intermediary bank charges applied at your end.

6.4 Currency

Commission is calculated and paid in US dollars. Where a customer pays in another currency, the amount is converted at the rate applied at the time the payment was received.

6.5 Disputes

Raise any query about a payout within 60 days of the payout date by emailing affiliates@gbppromote.com. We will investigate in good faith. After 60 days, the payout is treated as accepted.

6.6 Withholding

We may withhold a payout where we reasonably suspect fraud or a breach of these terms, for as long as is reasonably necessary to investigate. Where the investigation finds no breach, the withheld amount is released in the next payout run.

7. Promotional rules

7.1 Disclosure

You must clearly disclose your affiliate relationship wherever you promote GBPPromote. In the United States this is required by the FTC Endorsement Guides; similar rules apply in the UK, EU, India and elsewhere. A plain statement such as “I earn a commission if you sign up through this link” placed near the link satisfies this.

7.2 Accuracy

You must not make claims about GBPPromote that are false, exaggerated or unsupported. In particular, do not promise specific ranking improvements, guaranteed results, revenue outcomes, or features the platform does not have. If you are unsure whether a claim is accurate, ask us before publishing it.

7.3 Pricing claims

If you state our pricing, state it correctly and dated. You must not advertise discounts, coupons or offers that we have not authorised, and you must not represent yourself as able to negotiate pricing on our behalf.

7.4 Where you may promote

You may promote GBPPromote on your own website, blog, newsletter, social channels, video content, courses, communities you are a legitimate member of, and in client proposals. Comparison and review content is welcome, including content that is critical, provided it is accurate.

8. Prohibited conduct

Commission arising from any of the following is not Eligible, and repeated or serious breach will result in termination:

Not permittedWhy
Bidding on our brand termsPaid search ads on “GBPPromote” or close variants, including as broad match. You would be charging us for traffic we already have.
Typosquatting or lookalike domainsDomains that imitate ours, or subdomains implying you are us.
Coupon, deal and cashback sitesThese intercept customers already on their way to purchase rather than introducing new ones.
Cookie stuffingSetting the affiliate cookie without a genuine, deliberate click.
Unsolicited email or messagingSpam, purchased lists, and bulk direct messages. Your own opted-in list is fine.
Automated or incentivised trafficBots, click farms, paid-to-click schemes, or offering rewards for signing up.
Misrepresenting the relationshipClaiming to be GBPPromote, an official partner, reseller or employee unless you hold a separate agreement to that effect.
Adult, illegal or hateful contentPromotion on sites containing such content, or content that disparages any group.
Trademark registrationRegistering our name or marks as trademarks, domains, app names or social handles in any territory.

9. Use of our brand

9.1 Limited licence

We grant you a non-exclusive, revocable, non-transferable licence to use the GBPPromote name, logo and approved marketing materials solely to promote GBPPromote under these terms. This licence ends automatically when your participation ends.

9.2 How the marks may be used

  • Use the logo as supplied, without recolouring, stretching or altering it.
  • Do not combine our marks with your own into a composite logo.
  • Do not use our marks in a way suggesting endorsement of your other products or services.
  • We may ask you to remove or amend any use of our brand, and you agree to do so promptly.

9.3 Screenshots and content

You may use product screenshots and marketing content we supply. Do not publish screenshots containing another customer’s business data.

10. Relationship and tax

10.1 Independent contractor

You are an independent contractor. Nothing in these terms creates a partnership, joint venture, agency or employment relationship. You have no authority to make commitments on our behalf, to bind us to any agreement, or to represent yourself as our agent.

10.2 Your own costs

You bear all costs of your promotional activity. We do not reimburse advertising spend, content production or any other expense.

10.3 Tax

You are solely responsible for reporting and paying any tax due on Commission in your jurisdiction. Where law requires us to withhold tax or to collect tax documentation before paying you, we will do so, and payouts may be delayed until the required documentation is provided.

10.4 Data protection

We process your personal data in accordance with our privacy policy. Where you collect personal data in the course of promoting GBPPromote, you are the controller of that data and responsible for your own compliance.

11. Termination

11.1 By you

You may leave the program at any time by notifying us in writing. Eligible Commission accrued before termination will be paid in the normal payout cycle, subject to the minimum threshold. Commission stops accruing on the date of termination.

11.2 By us, without cause

We may end your participation, or the program itself, on 30 days’ written notice. In that case Eligible Commission accrued up to the end of the notice period is paid in the normal cycle, and Commission pending in a Holding Period will be paid if it becomes Eligible.

11.3 By us, for cause, with immediate effect

We may terminate immediately and without notice where you have breached sections 2, 5.5, 7, 8 or 9. In that case all pending and unpaid Commission is forfeited, and Commission already paid on affected referrals is repayable to us.

What we will not do

We will not terminate an affiliate in order to avoid paying Eligible Commission, and we will not withhold payment because a referral turned out to be larger than expected. If we end your participation without cause, you are paid what you earned. Section 11.3 exists for genuine breach, not for convenience.

11.4 Effect of termination

On termination you must stop using your Affiliate Link and remove our brand assets from your properties. Sections 5.4, 5.5, 10, 12 and 14 survive termination.

12. Liability and disclaimers

12.1 No guarantee of earnings

Any earnings figures shown on our affiliate program page, in a calculator, or in any material we publish are illustrative examples, not projections or guarantees. Actual earnings depend entirely on the number, size and retention of customers you refer. Many affiliates earn nothing.

12.2 Platform availability

We do not guarantee uninterrupted availability of the affiliate dashboard or tracking system. Where a tracking failure is demonstrably ours and you raise it within 60 days, we will make a reasonable good-faith adjustment.

12.3 Limitation of liability

To the maximum extent permitted by law, our total liability to you in connection with the affiliate program is limited to the total Commission paid to you in the 12 months preceding the claim. We are not liable for indirect or consequential loss, including lost profits or lost opportunity.

12.4 Indemnity

You will indemnify us against claims, losses and reasonable costs arising from your promotional activity, including any breach of section 7 or 8, or any claim that your content infringed a third party’s rights.

13. Changes to these terms

We may amend these terms. Material changes — including any change to the commission rate, the Holding Period, the cookie window or the payout threshold — take effect 30 days after we notify you by email or post an updated version with a revised effective date. Non-material clarifications take effect on posting.

Changes are not retrospective. Commission already earned is settled under the terms in force when the relevant Qualifying Payment was received. Continuing to use your Affiliate Link after a change takes effect constitutes acceptance.

14. Governing law

These terms are governed by the laws of India. The courts of Indore, Madhya Pradesh have exclusive jurisdiction over any dispute, except that either party may seek injunctive relief in any competent court to protect intellectual property.

If any provision is found unenforceable, the remainder continues in effect. Our failure to enforce a provision is not a waiver of it. These terms, together with our terms of service and privacy policy, form the entire agreement between us in relation to the affiliate program.
